Terms and Conditions

Applies to all CSV2GEO services and platforms.

These Terms and Conditions ("Terms") govern your use of the geocoding services provided by Scale Campaign LLC ("Scale Campaign", "we", "us", or "our"), including our batch geocoding platform, API services, and interactive mapping tools (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our Services. If you are using our Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

CSV2GEO provides geocoding services including:

  • Batch Geocoding: Upload CSV or Excel files containing addresses to receive latitude/longitude coordinates, or upload coordinates to receive addresses (reverse geocoding).
  • Geocoding API: Programmatic access to forward and reverse geocoding through RESTful API endpoints.
  • Interactive Maps: Tools for visualizing and analyzing geographic data on interactive maps.

3. Account Registration

Some features require account registration. You agree to provide accurate information and keep your account credentials secure. You are responsible for all activity under your account. Notify us immediately of any unauthorized access.

4. API Terms of Use

If you use our Geocoding API, the following additional terms apply:

API Keys: Your API key is confidential. Do not share it publicly or embed it in client-side code. You are responsible for all usage under your API key.

Rate Limits: API access is subject to rate limits based on your subscription tier. Exceeding rate limits may result in temporary blocking or additional charges.

Fair Use: You agree not to abuse, overload, or interfere with our API infrastructure. Automated scraping, excessive polling, or other activities that degrade service for other users are prohibited.

Caching: You may cache geocoding results for your own use. However, you may not redistribute cached data or create a competing service using our data.

5. Fees and Payment

Pay-As-You-Go: Batch geocoding services are available on a per-transaction basis. Pricing is displayed before processing.

Subscriptions: API access and premium features may require monthly or annual subscriptions. Subscription fees are billed in advance and are non-refundable except as required by law.

Overages: Usage exceeding your plan limits may incur additional charges at the overage rates specified in your plan.

Taxes: Fees are exclusive of applicable taxes, which you are responsible for paying.

6. Acceptable Use

You agree to use our Services only for lawful purposes. You may not:

  • Use the Services for any illegal activity
  • Attempt to reverse engineer, decompile, or extract source code
  • Interfere with or disrupt the Services or servers
  • Circumvent rate limits or security measures
  • Resell or redistribute our Services without authorization
  • Use the Services to build a competing product
  • Upload malicious files or code

7. Intellectual Property

The Services, including software, design, logos, and documentation, are owned by Scale Campaign and protected by intellectual property laws. You may not copy, modify, or distribute our materials without written permission.

You retain ownership of your data. By uploading data, you grant us a limited license to process it for providing the Services.

8. Data and Results

Customers who have paid for Services may use geocoding results for any lawful purpose. Results are provided for your use and may not be redistributed as a standalone data product.

Our geocoding data is sourced from public datasets. While we strive for accuracy, we do not guarantee that results are error-free or suitable for any particular purpose.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure. Geocoding results may contain inaccuracies. You use the Services at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCALE CAMPAIGN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Scale Campaign, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with or without notice. Upon termination, your right to use the Services ceases immediately.

You may terminate your account at any time by contacting us. Termination does not entitle you to a refund of prepaid fees except as required by law.

13. Modifications to Terms

We may modify these Terms at any time by posting the updated Terms on our website. Material changes will be communicated via email or prominent notice on the Services. Your continued use after changes constitutes acceptance.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Services shall be resolved exclusively in the state or federal courts located in Kent County, Michigan. You consent to the jurisdiction of these courts.

15. Dispute Resolution

Before initiating any legal action, you agree to contact us and attempt to resolve the dispute informally for at least 30 days. If resolution is not reached, either party may proceed with legal action as provided herein.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Scale Campaign regarding the Services and supersede all prior agreements.
